Commercial Contracts Solicitor
We are currently working on behalf of our client, a software and technology company, who are looking to hire a commercial contracts solicitor to work on a part-time basis with flexible hours.
The primary responsibilities include drafting, review, and negotiation of sales agreements with large commercial clients, as well as other ancillary documents.
*Ensures that proposed sales contracts, agreements, and other legal instruments safeguard the Company's interest, specifically in the indemnification, liability, and jurisdiction provisions.
*Works closely with the Sales, Legal, and management teams, as needed, to provide timely and sound legal counsel
*Interacts with large corporate clients and their legal teams to explain, negotiate, and finalize agreements.
*Maintains professional knowledge and in areas of the law of special emphasis and interest to the Company, including software licensing, contract negotiations, and advises the Company of impacts of law changes in these or other areas of significance.
*Develops and interprets legal, corporate governance, and legal compliance policies and procedures.
*Maintains confidentiality by not disclosing any confidential, proprietary or trade secret information belonging to the Company - this obligation shall continue beyond the term of any employment.
*Previous experience in in corporate law with concentration in the areas of contract negotiations, data licensing, software licensing, SaaS agreements,
*Technology/software related industry experience preferred.
*Experience with and an understanding of electronic contracting deployment and implementation is desired.
*Must be able to conduct legal research.
